These Terms govern the use of the KJ Cargo website and the contractual relationship between KJ Cargo GmbH and its clients for transport, freight and forwarding services. By placing an order with KJ Cargo you accept these Terms.

1. Provider

KJ Cargo GmbH, Schloßstraße 110, 12163 Berlin, Germany. Commercial Register: HRB 247060 B (Amtsgericht Charlottenburg). Share capital: 25.000,00 EUR. Date of entry: 29 October 2022. Contact: dispatch@kjcargo.de.

2. Scope of Services

KJ Cargo provides road transport, full truck load (FTL) and freight forwarding services across the European Union, either with its own resources or via vetted subcontractors. Unless expressly agreed otherwise, all services are subject to the German Forwarders' Standard Terms and Conditions (Allgemeine Deutsche Spediteurbedingungen — ADSp 2017, latest version) and, for international carriage by road, to the CMR Convention.

3. Offers and Conclusion of Contract

All offers and quotations are non-binding and subject to confirmation unless explicitly marked as binding. A contract is concluded upon our written order confirmation. Orders placed via freight exchange platforms (e.g. TimoCom, Trans.eu) are governed by the rules of those platforms in addition to these Terms.

4. Subcontracting

KJ Cargo is entitled to engage subcontractors for the performance of any service. We carefully vet our subcontractor network with respect to operating licences, insurance coverage and compliance.

5. Prices and Payment

Prices are quoted in EUR and exclusive of statutory VAT, unless stated otherwise. Invoices are payable within 14 days of the invoice date without deductions, by bank transfer to the account indicated on the invoice. In case of late payment, statutory default interest applies.

6. Client Obligations

The client warrants that the information provided about the cargo (nature, weight, dimensions, value, dangerous goods classification, special handling requirements) is accurate and complete. The client must ensure that cargo is properly packaged, labelled and ready for loading at the agreed time.

7. Liability

Liability for carriage of goods by road follows the CMR Convention for international transports and §§ 425 ff. HGB for domestic transports. Beyond statutory limits, KJ Cargo's liability is limited as set out in the ADSp 2017. KJ Cargo is not liable for indirect or consequential damages except in cases of intent or gross negligence.

8. Insurance

KJ Cargo maintains the carrier and forwarder liability insurance required by law. Additional cargo insurance is available on request and against separate fee.

9. Force Majeure

Neither party is liable for any failure to perform caused by force majeure events outside its reasonable control, including but not limited to natural disasters, war, strikes, border closures, pandemics or governmental measures.

10. Data Protection

Personal data is processed in accordance with our Privacy Policy.

11. Governing Law and Jurisdiction

These Terms and all contractual relationships are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes is Berlin, provided that the client is a merchant, a legal entity under public law or a special fund under public law.

12. Severability

Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision which most closely reflects the original economic intent.
